BofA Severance Package 2026: The Silent Shrink Decoded

BofA Severance: The Silent Shrink Strategy

Bank of America has reduced its headcount from approximately 218,000 employees at the end of 2022 to about 213,000 by the end of 2024, then continued trimming through 2025 and into 2026. What is unusual about this reduction is what has not happened: no announced restructuring program with a codename, no large single-day cut that triggers federal Worker Adjustment and Retraining Notification Act filings, and no public earnings-call statement of total cuts the way JPMorgan and Citi have done in the same window.

CEO Brian Moynihan's public framing of this strategy has been remarkably consistent across multiple Fortune interviews and earnings calls. The bank deploys AI across operations functions, reduces departments by attrition rather than layoff, manages performance reviews to drive voluntary departures, and frames the workforce reductions that do happen as "redeployment." Banking Dive's analysis of the headcount math against the bank's public messaging concluded that the actual cuts substantially exceed the bank's reported figures because the bank has avoided the WARN-triggering threshold of 100+ employees at a single site.

For affected employees, this strategy has direct consequences for the severance experience. There is no large class of similarly-situated colleagues to negotiate with collectively. There is no public WARN filing creating documentary leverage. And the bank does not publish its severance plan on SEC EDGAR the way CVS Health does. The negotiation playbook for BofA severance therefore looks structurally different from its peers.

The Short Answer

Bank of America does not publish a public, SEC-filed severance plan exhibit. The most reliable consensus across published employee resources, SimpleSeverance, HelpFromHR, The Retirement Group, and TheLayoff.com forum threads, describes a formula of two weeks of base pay per year of service, minimum four weeks, capped at 52 weeks (one year of base pay). Long-tenured employees (20+ years) reportedly receive an enhanced three-weeks-per-year rate capped at 78 weeks.

Treat these numbers as employee-reported consensus, not company-confirmed. BofA has never disclosed standard non-executive severance terms in any earnings call, 10-K, or press release we could locate. The figures above come from forums and consulting sites whose authority is real but limited.

What IS verified: the bank maintains an external outplacement vendor, pays out accrued PTO under North Carolina's Wage and Hour Act for Charlotte HQ staff, offers 3-6 months of subsidized COBRA depending on tenure (employee-reported), and has one structural distinctive vs peer banks, 401(k) match vests 100% immediately once an employee passes the 12-month service eligibility, where Citi, JPMorgan, and many peers use graded vesting.

What "The Silent Shrink" Actually Looks Like

The phrase comes from coverage in Axios Charlotte and eFinancialCareers describing the cumulative pattern. The mechanics:

Attrition without backfill. Departments shrink as voluntary departures go unreplaced. This is the largest single component of BofA's workforce reduction. It produces no announcement and no separation packages.

Performance-tagged cuts in small batches. Annual performance reviews surface a roughly stable percentage of low-rated employees who are exited with severance. The cuts are real but distributed across thousands of managers and dozens of locations, never aggregating to a WARN-triggering event at any single site.

AI-driven role elimination framed as redeployment. Moynihan has stated publicly that AI has reduced coding work by roughly 30% and eliminated the equivalent of about 2,000 positions, with affected staff offered redeployment into other roles. Fortune's coverage of Moynihan's November 2025 statement frames this as the new operating norm.

Hiring freezes during cost-cutting windows. Headcount reduction is achieved partly through tightened approvals on new hires across the year, particularly in Global Markets and Global Technology functions.

The rare exception: when BofA does close an entire site, it files WARN. The April 2026 Elma, New York operations center closure at 611 Jamison Road is the most prominent recent example, 170 layoffs from a 252-person staff, effective June 24, 2026. That filing is currently under WARN Act investigation by Strauss Borrelli PLLC, which is examining whether the notice satisfied federal requirements.

The Cash Formula

The two-weeks-per-year formula is consistent across the published employee resources but is not officially confirmed by BofA. The 52-week cap is the most-cited maximum, with longer-tenured staff (20+ years) reportedly receiving a 3-weeks-per-year enhanced rate capped at 78 weeks.

Three structural facts shape how this plays out in practice:

The 12-month bonus deferral interaction. For investment banking, markets, and wealth-management staff, 30-50% of annual bonus is typically deferred over a 3-4 year vesting schedule. Unlike Citi's CAP and Deferred Cash continued-vesting clauses, BofA's plan generally forfeits the unvested deferred portion on involuntary termination unless individually negotiated. This is the single biggest financial gap relative to Citi for affected revenue producers.

VP-and-above discretion. Employee reports consistently describe BofA severance packages as becoming "discretionary" at the VP grade and above, meaning the formula is a starting point rather than a contractual entitlement. COBRA duration, prorated bonus, RSU continued-vesting carve-outs, and non-solicit scope are all actively negotiated at this tier.

The "for cause" determination still matters. Where BofA's plan does grant discretionary continued vesting on RSUs or deferred cash, that discretion is reserved by the Compensation Committee and requires the termination to be classified as "not for cause." Affected employees should get this classification in writing.

The 2023-2026 Layoff Pattern

The cumulative footprint:

  • Full year 2023: Headcount fell from approximately 218,000 to 213,000, roughly 5,000 net reduction via natural attrition and selective hiring freezes. No mass-layoff announcement. (BofA 10-K disclosures, Banking Dive)
  • Full year 2024: Approximately 300 cuts in disclosed targeted actions: roughly 20 IB roles in Asia, 100+ analysts and associates in IB and Global Markets, London equities sales and trading trimmed, Global Technology reductions of less than 5% of group. No WARN filings.
  • November 2024: Internal reports of broader targeted cuts focused on return-to-office holdouts, automation-vulnerable operations roles, and high-paid under-performers. No headline number disclosed.
  • March 2025: 150 junior investment-banking analysts and associates cut globally as part of annual under-performer review; most offered roles outside IB, some opted to leave. Tied to the slowest US M&A start since 2009. (CNBC / Reuters)
  • April 2026: 170 WARN-filed layoffs at the Elma NY operations center; ~252 staff total at site offered redeployment or severance. Currently under Strauss Borrelli WARN investigation.

Across the full window, BofA's stated workforce reduction is significantly larger than the sum of these disclosed events, the gap is the silent shrink in action.

The Elma NY WARN Investigation

The April 2026 Elma filing matters because it is the rare event where BofA's normal pattern broke. The bank could not absorb 170 layoffs at a single Buffalo-area operations center through attrition or quiet performance-tagged exits, the lease expiration forced a WARN-mandated 60-day notice. Strauss Borrelli PLLC opened a public WARN Act investigation on April 7, 2026 examining whether the 60-day notice was actually given for all affected employees.

For employees affected by the Elma closure with separation dates earlier than approximately June 24, 2026, a WARN violation finding would entitle them to up to 60 days of back pay and benefits under federal WARN Act remedies, plus civil penalties for the employer. The bank has incentive to settle quietly; affected employees should consider consulting an employment attorney about the WARN claim before signing any release of claims that might waive it.

This is also a signal to watch in other BofA locations. Branch consolidation continues through 2026 and 2027. If site closures push above the WARN threshold of 100+ employees in any local cluster, similar filings may follow.

Benefits Beyond Cash

COBRA. Employee reports describe 3-6 months of subsidized COBRA depending on tenure. Standard negotiation target is 6 months minimum. Beyond that period, employees pay full unsubsidized COBRA premium.

PTO payout. North Carolina has no state mandate requiring PTO payout, but BofA's written policy historically pays out accrued unused vacation. North Carolina Department of Labor policy presumes payout owed when written employer policy is silent or affirmative. The NCDOL promised-wages guidance is the authoritative reference.

Outplacement. External career-transition vendor, included by default. Coverage duration is not publicly disclosed and varies by cohort and grade.

RSUs: Sharing Success program and executive grants. Unvested RSUs are generally forfeited at involuntary termination unless the Compensation Committee provides continued vesting in the specific award agreement. Only the change-in-control double-trigger mechanism produces automatic acceleration. The January 2026 Sharing Success distribution of $1 billion to 96% of employees is structured as a long-term retention award subject to the standard forfeiture rules.

Deferred cash bonus. Typically 30-50% of bonus deferred over 3-4 years for IB and Markets roles. Forfeited on involuntary termination unless individually negotiated. No formal "good leaver" continued-vesting equivalent to Citi's CAP.

401(k). Match is 5% dollar-for-dollar after 12 months of service eligibility, vesting 100% immediately. This is structurally distinctive vs peer banks that use graded vesting and is a real benefit at separation.

Negotiation Angles for BofA Employees

The discretionary nature of BofA's severance above the VP grade creates more negotiation surface area than the formula suggests:

VP+ leverage. Above VP, COBRA extension, prorated bonus, and non-solicit scope are all routinely moveable items. Lower-tenure analyst and associate packages tend to be more formulaic. If you are VP+, treat the initial offer as a starting position.

PTO payout in NC. If HR resists, cite NCGS 95-25.12 and NCDOL's policy presumption that written employer policies are enforceable as wages owed.

Unvested deferred cash and RSU. Ask for an explicit continued-vesting carve-out in the separation agreement. The Compensation Committee has discretion under the plan to grant it; the request is uncommon but achievable, particularly for revenue producers with material unvested balances.

Charlotte geographic-impact arguments. BofA has roughly 19,590 employees in the Charlotte area. Ongoing lease and branch consolidation creates a context where geographic impact and community-economic arguments resonate locally with the Charlotte HR organization.

Merrill / Wealth Management staff. Legacy retention bonus and book-of-business clauses are still active for some financial advisors. Form U5 timing and book transfer mechanics can be negotiated. Consult specialist counsel before signing if you hold a book.

AI redeployment framing as leverage. Moynihan publicly frames cuts as "redeployment, not layoff." If no internal role is offered, you have a structurally clean ask for redeployment-equivalent transition support, extended COBRA, longer outplacement, or a guaranteed-interview internal posting window.

For peer-bank context, see our Citi severance breakdown, which has the opposite pattern (named Project Bora Bora program with public restructuring announcements), and the JPMorgan Chase severance breakdown. The federal WARN Act overview and ADEA consideration windows are the relevant federal frameworks.

The Bottom Line

Bank of America severance in 2026 is governed by a non-published employee-reported formula in a workforce-reduction environment that deliberately avoids the WARN-triggering events that produce documentary leverage at peer banks. The cash side is two weeks per year of service, minimum four weeks, capped at 52 weeks, but the discretionary nature of packages above VP grade, plus the silent-shrink strategy that disperses cuts across managers and locations, means the negotiation playbook is more about individual asks and less about collective class-of-similarly-situated-employees pressure.

If you are affected by the Elma NY closure or a future site-level cut that triggered a WARN filing, the legal posture is structurally different, federal WARN remedies are real and currently being investigated for the April 2026 cohort. If you are affected by an individual or small-batch cut, focus the negotiation on the items that have moved in published employee reports: COBRA extension, continued-vesting carve-outs on deferred comp, prorated bonus, and non-solicit scope reduction.

This article is a guide, not legal advice. BofA's lack of a public severance plan filing means individual circumstances vary more than at peer banks. If you have material unvested deferred awards, are part of a WARN-investigated cohort, or hold a financial-advisor book, consult a qualified employment attorney before signing.
